These Terms and Conditions ("Terms and Conditions") govern the partnership between Alchemy Books LLC ("Alchemy Books," "we," "us," or "our") and authors ("Author," "you," or "your") who join our Author Partnership Program.
By submitting an application or paying any fees to Alchemy Books, you agree to these Terms and Conditions in full.
For purposes of these Terms and Conditions, the following definitions apply:
"Partnership" means the revenue-sharing arrangement between Alchemy Books and Author for selling Author's books via Alchemy Books TikTok Shop.
"Content" means Author's book(s), including text, images, cover art, and all related materials.
"Profit Share" means the percentage of Net Profit paid to Author after all deductions.
"Net Profit" means gross sales minus TikTok fees, payment processing fees, creator commissions, fulfillment costs, and return costs. All fee percentages are subject to change with thirty (30) days notice.
This Agreement establishes a revenue-sharing partnership, not employment, agency, or joint venture. Alchemy Books acts as merchant of record on TikTok Shop. Author is an independent contractor responsible for their own taxes and regulatory compliance.
Alchemy Books operates a TikTok Shop account subject to TikTok's Terms of Use and policies. Author acknowledges and agrees that TikTok may suspend, restrict, or terminate Alchemy Books' shop at any time without notice or liability. If TikTok takes action against Alchemy Books' shop, this Partnership may be suspended or terminated immediately without notice, refund, or compensation. Alchemy Books' sole obligation is to list compliant books on our TikTok Shop. We have no control over TikTok's platform, policies, or enforcement decisions. Author assumes all risk inherent in TikTok's platform and acknowledges Alchemy Books has no liability for TikTok's actions.
Alchemy Books makes no guarantees regarding sales volume, revenue, Amazon BSR improvement, spillover effects, creator engagement, or any specific outcomes. The Profit Calculator is provided for illustrative purposes only to help Authors estimate potential scenarios. Actual results will vary based on numerous factors outside Alchemy Books' control.
Benefits, fees, and profit share terms for Founding Members are detailed in Founding Members program materials. The Founding Member profit share percentage is guaranteed for life and is not subject to change.
Fees, profit share percentages, and terms for Standard Members are shown on the Pricing Page and are subject to change with sixty (60) days written notice to the email address on record.
Authors pay actual costs for printing, proof copies, inventory, storage (after initial free period), fulfillment, and returns as detailed in Section 5 and communicated at time of service.
All setup fees are non-refundable. The setup fee covers backend administration, consultation, and initial listing creation.
Membership benefits may be assigned or transferred with thirty (30) days written notice to Alchemy Books. The assignee must accept these Terms and Conditions.
Profit share applies only to completed, paid, non-returned orders. Net Profit is calculated after deducting all applicable fees, commissions, and costs as defined in Section 1.
Payments are issued monthly in arrears within ten (10) business days following month end.
The minimum payout threshold is specified in program materials. Amounts below the threshold carry forward to the next month.
Profit share payments to international authors are made via Wise. If preferred payment will be made to regular bank account via Bank Transfer
All payments are made in United States Dollars (USD).
Author is solely responsible for all tax reporting, withholding, and payments. Alchemy Books has no liability for Author's tax obligations.
Author pays actual printing costs in advance. The minimum initial print run is specified in program materials.
The cost per title for proof copies is specified in program materials and must be paid in advance. Author must approve the proof in writing before the full print run proceeds.
Fulfillment fees are deducted from Author's payout. Current fees are communicated at time of service and are subject to change with thirty (30) days email notice.
An initial period of free storage is provided as specified in program materials. After the initial period, storage fees charged by the fulfillment company will apply. Alchemy Books is authorized to deduct storage fees from payments due to Author. If no payments are due, Alchemy Books will invoice Author for storage fees.
Current return fees are communicated at time of service and are subject to change with thirty (30) days notice. Return fees are deducted from Author's payout or invoiced if no payments are due.
If Author chooses not to authorize a new print run when inventory is low, Author grants Alchemy Books the irrevocable right to authorize and pay for print run(s) at Alchemy Books' sole discretion. Under such circumstances, Author's profit share reduces to fifty percent (50%) until Author resumes paying printing costs in advance, at which point profit share reverts to the contracted rate.
Books must comply with TikTok's content policies and Alchemy Books' quality standards. Author is solely responsible for reviewing TikTok's policies before submission.
Alchemy Books reserves the right to decline any book without explanation.
If TikTok rejects a book after listing, the book will be removed with no refund of setup fees. Existing inventory will be returned to Author after payment of shipping costs or disposed of without compensation to Author. Author may make compliance amendments and resubmit for TikTok approval.
If TikTok policies change, re-review may be required. Books failing new requirements will be removed.
Author warrants that they own all rights to the Content or have proper licenses; that Content complies with all applicable laws, TikTok policies, and platform requirements; that Content does not violate any copyright, trademark, patent, or intellectual property rights; that they have checked the United States Patent and Trademark Office website (https://tsdr.uspto.gov/) for trademark conflicts; and that they have the legal right to grant Alchemy Books the license to sell the Content.
Alchemy Books provides guidance, but Author makes final compliance decisions and is solely responsible for ensuring Content meets all requirements.
Author indemnifies and holds harmless Alchemy Books against all claims, damages, costs, and legal fees arising from copyright, trademark, or intellectual property infringement related to Author's Content; false or misleading claims in Author's Content; violation of TikTok policies or applicable laws; or any breach of these warranties.
Author retains all ownership rights to their books and Content.
Author grants Alchemy Books a non-exclusive, worldwide license to list and sell books via Alchemy Books TikTok Shop; use book covers, excerpts, and descriptions for marketing purposes; and fulfill orders and provide customer service.
All intellectual property rights in and to Alchemy Books' dashboard, calculator, tools, systems, trademarks, and trade names remain the exclusive property of Alchemy Books.
Alchemy Books shall not modify, decompile, reverse engineer, translate, sell, or otherwise use Author's Content beyond the scope envisaged under this Agreement.
Author represents and warrants that performing services under this Agreement will not violate any legal statute, law, order, or regulation, including but not limited to those regarding copyright, trademark, patent, trade secret, contract, or property rights.
Author sets creator commission rates.
Creator commissions are deducted before profit share calculation.
Author may authorize free sample copies for creators.
Author may not directly contact, negotiate with, or pay creators outside the Alchemy Books system.
Alchemy Books handles order fulfillment via third-party 3PL providers, customer service inquiries, and returns or refunds per TikTok Shop policies.
Author is responsible for all costs associated with damaged or returned inventory. Such costs will be deducted from monthly profit share. If profit share is insufficient to cover these costs, Alchemy Books will invoice Author for the balance.
Alchemy Books collects sales data and customer information in accordance with its Privacy Policy.
Customer data remains confidential and is not available to Author.
Author warrants to keep dashboard access credentials secure and confidential.
Except as expressly and unambiguously allowed herein, each party will hold in confidence and not use or disclose any Confidential Information and will similarly bind its employees and contractors in writing.
Author may terminate this Agreement with thirty (30) days written notice. Final payment will be issued within sixty (60) days of termination. Setup fees and print costs are non-refundable. Author may request return of remaining inventory by paying shipping costs in advance based on Alchemy Books' quote. If Author does not request return of inventory, Alchemy Books may, at its sole discretion, continue selling inventory at current or discounted prices or dispose of inventory without compensation to Author.
Alchemy Books may terminate this Agreement with thirty (30) days written notice.
Alchemy Books may immediately terminate this Agreement for fraud or material misrepresentation; violation of TikTok policies; copyright or intellectual property infringement; failure to maintain adequate inventory after notice; actions harming Alchemy Books' reputation or business; or material breach of these Terms and Conditions.
Upon termination, all licenses granted under this Agreement terminate immediately. Outstanding payments are due within sixty (60) days.
Alchemy Books is not liable for TikTok Shop suspension, termination, or policy changes; creator performance, engagement, or sales volume; market changes, demand fluctuations, or competitive factors; printing or shipping delays beyond reasonable control; Amazon BSR changes, spillover effects, or indirect benefits; or loss of potential profits or business opportunities.
Alchemy Books' total liability under this Agreement is limited to fees paid by Author in the preceding twelve (12) months.
Neither party is liable for indirect, incidental, consequential, or punitive damages.
Alchemy Books may update these Terms and Conditions with thirty (30) days email notice to the address on record.
The Founding Member profit share percentage cannot be reduced.
Material changes require Author consent or provide Author the right to terminate without penalty.
Continued participation after notice constitutes acceptance of modified Terms and Conditions.
Author confirms they are eighteen (18) years or older as required by TikTok.
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, whether written or oral.
If any provision of these Terms and Conditions is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Failure to enforce any provision of these Terms and Conditions is not a waiver of that provision or any other provision.
Alchemy Books may assign this Agreement with thirty (30) days notice to Author. Author may assign this Agreement as provided in Section 3.5.
All notices under this Agreement must be sent via email to the address on record.
Neither party is liable for delays or failures in performance due to circumstances beyond reasonable control.
Participation in the Author Partnership Program requires financial investment including setup fees, printing costs, inventory, and ongoing operational expenses. These are business investments that carry inherent financial risk. Success depends on numerous factors outside Alchemy Books' control, including but not limited to TikTok platform performance, creator engagement, market demand, competitive conditions, and consumer behavior. Past performance of other authors is not indicative of future results.
Alchemy Books makes no representations, warranties, or guarantees regarding sales volume, revenue, profitability, return on investment, Amazon BSR improvement, spillover sales effects, or any other specific business outcomes. The Profit Calculator and any examples, projections, or case studies provided are for illustrative purposes only and do not constitute promises or guarantees of actual results. Actual performance will vary significantly based on factors including book quality, market fit, creator interest, pricing strategy, and timing.
Alchemy Books operates on TikTok Shop, a third-party platform over which we have no control. TikTok may change its policies, algorithms, fee structures, content requirements, or business model at any time without notice. TikTok may suspend, restrict, or terminate our shop, which would impact all authors in the Partnership. Authors acknowledge and accept these platform-related risks as inherent to this business model.
Alchemy Books provides operational guidance regarding TikTok Shop, book formatting, compliance, and creator collaborations. This guidance does not constitute legal, tax, accounting, or financial advice. Authors are solely responsible for consulting with qualified professionals regarding tax obligations, business structure, intellectual property protection, contract review, and financial planning. Authors should not rely on Alchemy Books for professional advice in these areas.
Any statements regarding potential earnings, market trends, platform growth, or business opportunities are forward-looking statements subject to risks and uncertainties. Actual results may differ materially from any projections, estimates, or expectations discussed. Authors should make decisions based on their own due diligence and risk assessment rather than relying on forward-looking statements.
While Alchemy Books provides guidance on TikTok content policies, Authors remain solely responsible for ensuring their Content complies with all applicable laws, regulations, and platform requirements. Alchemy Books does not review Content for legal compliance and cannot guarantee that Content meeting our guidance will be approved or remain compliant as policies evolve.
Alchemy Books partners with third-party service providers for printing, fulfillment, payment processing, and other services. While we select reputable providers, we are not responsible for their performance, errors, delays, or failures. Service quality, timing, and costs are subject to third-party provider capabilities and terms.
The book market, TikTok platform landscape, and creator economy are dynamic and competitive. Market conditions, consumer preferences, competitive intensity, and platform policies may change rapidly. Success requires ongoing adaptation to changing market conditions.
Dashboard features, calculators, reporting tools, and other technology components are provided on an "as is" basis. While we strive for accuracy and reliability, technology may contain errors, experience downtime, or produce inaccurate data. Authors should verify critical information and not rely solely on automated tools for business decisions.
By participating in the Author Partnership Program, Author acknowledges reading, understanding, and accepting all disclaimers set forth in this Section 16 and throughout these Terms and Conditions. Author confirms that they are making an informed business decision based on their own assessment of risks and opportunities.
These Terms and Conditions are governed by the laws of the United States of America and the State of Wyoming.
Any disputes arising under this Agreement will be settled within United States jurisdiction. Under no circumstances will this Agreement be subject to the laws or courts outside the United States.
Parties agree to attempt informal resolution before litigation.
By submitting an application or payment, Author acknowledges reading, understanding, and agreeing to these Terms and Conditions in full.
