These Terms and Conditions govern the agreement between Interactive Alchemy Publishing LLC, doing business as Alchemy Books US ("Alchemy Books," "we," "us," or "our") and authors ("Author," "you," or "your") who join the Alchemy Books publishing program.
By submitting an application or paying any fees to Alchemy Books, you agree to these Terms and Conditions in full.
"Agreement" means these Terms and Conditions together with the programme materials referenced in them.
"Author" means the person who accepts these Terms and Conditions.
"Content" means the Author's book or books, including text, images, cover art and all related materials.
"Marketing Content" means video, image or text material supplied by the Author for promotion of the Content.
"Net Receipts" means amounts actually received by Alchemy Books from TikTok Shop in respect of sales of the Content, less refunds, returns, chargebacks and fees or commissions deducted by TikTok Shop.
"Publication Fee" means the fee payable by the Author for the publication services described in Section 5, including but not limited to production and maintenance of stock, listing creation and compliance review, proof approval, affiliate creator outreach and campaign management, access to the Alchemy Books platform, upload and hosting of images and video assets, and the author dashboard and sales analytics.
"Publishing Licence" means the licence granted under Section 8.2.
"Royalty" means the amount payable to the Author under Section 4, being consideration for the Publishing Licence.
"Service Fees" means the fulfilment, storage, return, creator commission and other charges described in Section 5.
2.1 Publisher and Licensor. The Author owns the copyright in the Content and grants Alchemy Books the Publishing Licence. Alchemy Books is the publisher and merchant of record and pays the Author a Royalty as consideration for that licence. Nothing in this Agreement creates a partnership, joint venture, agency, employment or fiduciary relationship between the parties, and neither party has authority to bind the other. Neither party will take any position in any tax return, filing or proceeding inconsistent with the characterization set out in this clause.
2.2 TikTok Shop Relationship. Alchemy Books operates a TikTok Shop account subject to TikTok's terms and policies. TikTok may suspend, restrict or terminate that account at any time without notice or liability. If TikTok takes action against the account, this Agreement may be suspended or terminated immediately without notice, refund or compensation. Alchemy Books' sole obligation is to list compliant books on its TikTok Shop. Alchemy Books has no control over TikTok's platform, policies or enforcement decisions, and the Author assumes all risk inherent in the platform.
2.3 No Guarantees. Alchemy Books makes no guarantee as to sales volume, revenue, Amazon ranking, spillover effects, creator engagement or any other outcome. The Profit Calculator is illustrative only.
3.1 Founding Member. Fees, Royalty rate and terms for Founding Members are set out in the Founding Member programme materials. The Founding Member Royalty rate is guaranteed for life and is not subject to reduction, save as provided in Section 5.7.
3.2 Standard Member. Fees, Royalty rates and terms for Standard Members are shown on the Pricing Page and may change on sixty (60) days' written notice to the email address on record.
3.3 Additional Costs. The Author pays the Publication Fee and Service Fees as set out in Section 5.
3.4 Non-Refundable Fees. Setup fees are non-refundable and cover backend administration, consultation and initial listing creation.
3.5 Assignment of Benefits. Membership benefits and Royalty entitlement may be assigned or transferred on thirty (30) days' written notice to Alchemy Books. The assignee must accept this Agreement. Assignment to an entity does not alter Alchemy Books' obligations under Section 4.8, and fresh tax documentation is required from the assignee before any payment is made.
4.1 Royalty. Alchemy Books will pay the Author a Royalty of the applicable percentage of Net Receipts in respect of sales of the Content.
4.2 Payment Schedule. Royalties are paid monthly in arrears within thirty (30) days of month end, subject to Section 4.7.
4.3 Minimum Payout. Amounts below the minimum payout threshold specified in programme materials carry forward to the following month.
4.4 Payment Method. Payments to international authors are made via Wise, or by bank transfer if preferred.
4.5 Currency. All payments are made in United States Dollars.
4.6 Set-Off. The Author authorises Alchemy Books to set off any Publication Fee, Service Fee, invoiced amount or other sum owed by the Author against Royalties payable. Where Royalties are insufficient, Alchemy Books will invoice the Author for the balance, payable within thirty (30) days.
4.7 Payment Contingent on TikTok Settlement. Alchemy Books' obligation to pay any Royalty is expressly contingent upon, and limited to, Alchemy Books' actual receipt of the corresponding settlement funds from TikTok Shop. If TikTok delays, withholds, reduces, charges back, disputes or otherwise fails to remit funds for any reason, including platform error, fraud or chargeback investigation, refund, account suspension or termination, or TikTok's insolvency, Alchemy Books' obligation is delayed, reduced or extinguished to the same extent, and Alchemy Books has no liability for any resulting shortfall, delay or non-payment. Alchemy Books will use commercially reasonable efforts to pursue amounts owed by TikTok but is under no obligation to advance payment from its own funds. This Section applies to all payment obligations under this Agreement, including amounts due on termination.
4.8 Tax Documentation and Withholding.
(a) Before any Royalty is paid, the Author must provide a valid IRS Form W-8BEN or W-8BEN-E (non-US persons) or Form W-9 (US persons), and must provide a replacement before expiry or on any change of circumstances affecting its accuracy.
(b) Royalties on books sold into the US market are US-source income and are generally subject to US withholding tax. Alchemy Books will withhold at the rate applicable under any income tax treaty claimed on valid documentation, and at thirty percent (30%) where no valid documentation is held or no treaty rate applies.
(c) Alchemy Books will remit withheld amounts to the Internal Revenue Service and will report payments on Form 1042-S or Form 1099 as applicable. A Form 1042-S is issued to every non-US Author receiving reportable payments, including where the applicable withholding rate is zero.
(d) The Author consents to receive tax documents electronically through the author dashboard, with email notification when a document is available. The Author may withdraw this consent in writing, in which case documents will be sent by post to the address on record. The Author must maintain a current postal address for this purpose.
(e) Withholding in accordance with this Section is not a breach of this Agreement and does not reduce the Royalty payable. Where tax has been over-withheld, the Author's remedies are those available under US law and the applicable treaty.
(f) The Author is responsible for tax obligations arising in the Author's own jurisdiction and for determining whether any credit or relief is available there.
(g) The Author indemnifies Alchemy Books against any tax, interest and penalties arising from inaccurate or incomplete tax documentation provided by the Author.
4.9 Statements and Dispute Window. Alchemy Books provides a monthly statement through the author dashboard. The Author must notify Alchemy Books of any dispute within sixty (60) days of the statement date. After that period the statement is final and binding, save in the case of manifest error or fraud.
4.10 Payment Details. The Author is responsible for maintaining accurate and current banking details. Where the Author submits a change, that change takes effect only when the Author confirms it by following the verification email sent to the account email address. Royalty payments are held while a change is pending. Where a change is not confirmed within fourteen (14) days it lapses, and the details last confirmed continue to apply.
Payment made to the banking details last confirmed by the Author discharges Alchemy Books' payment obligation in full, and Alchemy Books is not liable for any loss arising from the Author's failure to keep those details current or to confirm a requested change.
Where a payment is returned, rejected or reversed because the Author's banking details are inaccurate or out of date, any bank charges, intermediary fees and the cost of reissuing the payment are recoverable from the Author. The Author authorises Alchemy Books to deduct such amounts from the payment when reissued or from future Royalties, without further reference to the Author.
5.1 Publication Fee and Title to Stock. The Author pays the Publication Fee in advance of each print run. All printed stock is the property of Alchemy Books. Payment of the Publication Fee does not confer on the Author any ownership interest in, or right to possession of, printed stock, and the Author has no obligation in respect of stock beyond the Publication Fee and the Service Fees set out in this Section.
5.2 Proof Copies. The cost per title for proof copies is specified in programme materials and is payable in advance. The Author must approve the proof in writing before the full print run proceeds.
5.3 Fulfilment Fees. Fulfilment fees are charged at the rates communicated at the time of service and may change on thirty (30) days' notice. They are payable under Section 4.6.
5.4 Storage Fees. An initial period of free storage is provided as specified in programme materials. Storage fees apply thereafter at the rates charged by the fulfilment provider and are payable under Section 4.6.
5.5 Return Fees. Return fees are charged at the rates communicated at the time of service and may change on thirty (30) days' notice. They are payable under Section 4.6.
5.6 Damaged or Unsaleable Stock. All printed stock is the property of Alchemy Books. Where copies are damaged, or are returned by customers in unsaleable condition, Alchemy Books may charge the Author a Damaged Stock Fee, at its discretion, of up to the cost of replacing the affected copies. Any such fee is a Service Fee under Section 4.6. Alchemy Books is responsible for the disposal of the affected copies.
5.7 Royalty Rate and Publication Fee. All printed stock is the property of Alchemy Books, whichever party meets the cost of a print run. The Royalty rate applying to sales from a print run depends on which party meets that cost:
(a) where the Author pays the Publication Fee, the Royalty rate for the Author's membership tier applies;
(b) where Alchemy Books meets the cost, the Royalty rate is fifty percent (50%) of Net Receipts, irrespective of membership tier.
Where stock is low and the Author has not paid the Publication Fee, Alchemy Books may produce a print run and meet the cost itself. Rate (b) then applies to sales from that run only. Subsequent runs for which the Author pays the Publication Fee revert to the tier rate.
5.8 Loss or Damage in Storage. Where stock is lost or damaged while held by the fulfilment provider, Alchemy Books will pursue the claim against that provider in its own name and will pay any recovery to the Author net of the costs of recovery. Where recovery is incomplete or unavailable, the shortfall is borne by the Author as the party who paid the Publication Fee for those copies. Alchemy Books is not otherwise liable for loss of or damage to stock in storage.
5.9 Retail Pricing. The Author sets the retail price of the Content during onboarding. Alchemy Books may reduce that price by up to fifteen percent (15%) without reference to the Author, including to participate in TikTok Shop promotions or to maintain listing competitiveness. Any greater reduction requires the Author's written agreement.
6.1 Compliance Requirement. Books must comply with TikTok Shop content and product policies and with Alchemy Books' quality standards. The Author is responsible for reviewing TikTok's policies before submission.
6.2 Right to Decline. Alchemy Books may decline any book at its sole discretion and without explanation.
6.3 TikTok Rejection. If TikTok rejects a book after listing, the book will be removed and fees already paid for that title are non-refundable. The Author may make compliance amendments and resubmit. Remaining stock is dealt with under Section 12.5.
6.4 Policy Changes. TikTok policies may change at any time, requiring amendment or removal of Content without notice.
7.1 Author Warranties. The Author warrants that they own all rights in the Content or hold the necessary licences; that the Content complies with all applicable laws, TikTok policies and platform requirements; that the Content does not infringe any copyright, trademark, patent or other intellectual property right; that they have checked the United States Patent and Trademark Office register for trademark conflicts; and that they have the legal right to grant the Publishing Licence.
7.2 Marketing Content Warranties. The Author warrants, in respect of every item of Marketing Content supplied:
(a) that it is original to the Author and has not been published, duplicated or reused from any other source or account; and
(b) that any material generated in whole or in part by artificial intelligence is disclosed as such at the time of upload.
These warranties are absolute. They are not qualified by the Author's knowledge, belief or intention, and a lack of awareness is not a defence to breach.
7.3 Confirmation at Upload. The Author confirms compliance with Section 7.2 at the time of each upload. Upload is not possible without that confirmation, and the confirmation is recorded against the file.
7.4 Sanction for Breach of Section 7.2. Where Marketing Content is published and results in a TikTok violation, warning, strike, restriction or any other enforcement action, Alchemy Books may at its sole discretion immediately remove the Content and immediately terminate this Agreement, without notice and without refund of any fees paid. Alchemy Books may sell through remaining stock and pay Royalties on those sales, or dispose of remaining stock without compensation to the Author.
7.5 TikTok Shop Compliance Acknowledgement. Alchemy Books operates as merchant of record on TikTok Shop. The Author acknowledges and agrees that:
(a) TikTok Shop has content and product policies with which Alchemy Books must comply to maintain its shop in good standing;
(b) the Content and Marketing Content must not violate TikTok Shop policies, including but not limited to adult or sexual content, weapons, drugs, hate speech, discriminatory content, copyright violations, misleading health claims, dangerous items, or any other prohibited content as defined by TikTok;
(c) Alchemy Books has sole discretion to determine whether the Content or Marketing Content may violate TikTok Shop policies;
(d) Alchemy Books may refuse to add any book to TikTok Shop, or remove any book already listed, where it believes in its sole discretion that the material may violate TikTok policies or otherwise put the TikTok Shop account at risk;
(e) violations or suspected violations may result in immediate removal of the Content and termination of this Agreement without reimbursement of any fees paid; and
(f) the Author indemnifies Alchemy Books against any claim, loss or damage resulting from the Content or Marketing Content violating or potentially violating TikTok Shop policies.
For guidance on TikTok Shop compliance, the Author should review the TikTok Sensitive Words Guide available in the Resources section.
7.6 Indemnification. The Author indemnifies and holds harmless Alchemy Books against all claims, damages, costs, legal fees and losses arising from breach of Sections 7.1, 7.2 or 7.3, from infringement of intellectual property rights, from false or misleading claims in the Content or Marketing Content, or from violation of TikTok policies or applicable law. This indemnity expressly extends to losses suffered by other authors published through the Alchemy Books TikTok Shop and to consequential losses arising from suspension, restriction or termination of that shop.
7.7 Review Does Not Verify. Alchemy Books publishes the Content and uploads Marketing Content to TikTok Shop as publisher in its own right and not as agent for the Author. Any review carried out by Alchemy Books before publication is a check for obvious TikTok policy risk only. It does not verify originality, does not detect duplication, does not verify disclosure of artificial intelligence, and does not confirm compliance with any warranty in this Section. Acceptance, review, approval, upload or publication by Alchemy Books does not waive, reduce, qualify or limit any warranty given by the Author, does not transfer any responsibility to Alchemy Books, and does not limit the indemnity in Section 7.6. The Author may not rely on any act of Alchemy Books as a defence to breach of Sections 7.1, 7.2 or 7.3.
8.1 Author Retains Rights. The Author retains copyright in the Content and all rights not expressly granted.
8.2 Publishing Licence. The Author grants Alchemy Books an exclusive licence, limited to sale through the Alchemy Books TikTok Shop in the United States, to reproduce, print, publish, distribute, market and sell the Content in print format, and to use the cover, excerpts and descriptions for marketing purposes.
8.3 Term of Licence. The Publishing Licence runs for so long as the Author's membership remains active, and for a further ninety (90) days following termination or lapse of membership to permit sell-through of remaining stock.
8.4 Alchemy Books Property. All intellectual property in the Alchemy Books dashboard, calculator, tools, systems, trademarks and trade names remains the exclusive property of Alchemy Books.
8.5 No Modifications. Alchemy Books will not modify, decompile, reverse engineer, translate, sell or otherwise use the Content beyond the scope of this Agreement.
8.6 Author Representations. The Author represents and warrants that performing under this Agreement will not violate any statute, law, order or regulation, including those regarding copyright, trademark, patent, trade secret, contract or property rights.
8.7 Spiral-Bound Editions. Where the Author agrees in writing in respect of a particular Work, the Author grants Alchemy Books an exclusive licence to produce, publish and sell that Work in spiral-bound format through any channel, and to sublicense that right to third-party distributors. Royalties on such sales are payable at the rate agreed for that format. This licence applies to the spiral-bound format only and does not affect the Author's own editions in any other format or channel.
Alchemy Books may take action, in its own name or in the name of the Author, against any unauthorised spiral-bound edition of the Work, and the Author will provide reasonable assistance in doing so.
Where Alchemy Books has not published a spiral-bound edition of the Work within twelve (12) months of the Author's agreement, the licence granted under this Section lapses and the right reverts to the Author.
9.1 Commission Setting. Creator commission rates are set by Alchemy Books at a rate agreed with the Author.
9.2 Deduction. Creator commissions are payable under Section 4.6.
9.3 Sample Copies. The Author may authorise free sample copies for creators.
9.4 No Direct Contact. The Author may not directly contact, negotiate with or pay creators outside the Alchemy Books system.
10.1 Alchemy Books Responsibilities. Alchemy Books handles order fulfilment through third-party providers, customer service enquiries, and returns or refunds in accordance with TikTok Shop policies.
10.2 Reader Bonus Content. Where the Author uses Alchemy Books to host reader bonus content, readers register directly with the Author before being directed to the hosted file. The resulting mailing list belongs to the Author, who is responsible for it under applicable data protection law. Alchemy Books hosts the file and does not control that list.
11.1 Customer Data. Alchemy Books is merchant of record. Customer names, postal addresses, contact details and order details are collected for fulfilment and are not provided to the Author at any time, whether during the term or on termination. The Author receives aggregated sales reporting only.
11.2 Creator Data. Creator identities, outreach history, response data and any information derived from Alchemy Books' creator outreach systems are the confidential commercial information of Alchemy Books and are not provided to the Author at any time, whether during the term or on termination.
11.3 Survival. Sections 11.1 and 11.2 survive termination of this Agreement.
11.4 Dashboard Security. The Author must keep dashboard credentials secure and confidential.
11.5 Mutual Confidentiality. Each party will hold in confidence and not use or disclose the other's confidential information, and will bind its employees and contractors accordingly.
11.6 Privacy Policy. Alchemy Books collects and processes data in accordance with its Privacy Policy.
12.1 Termination by Author. The Author may terminate on thirty (30) days' written notice. Final payment is issued within sixty (60) days of termination, subject to Section 4.7. Setup fees and Publication Fees are non-refundable.
12.2 Termination by Alchemy Books. Alchemy Books may terminate on thirty (30) days' written notice.
12.3 Immediate Termination. Alchemy Books may terminate immediately for fraud or material misrepresentation; breach of Section 7.2; violation of TikTok policies; intellectual property infringement; failure to maintain adequate stock after notice; conduct harming Alchemy Books' reputation or business; or material breach of this Agreement.
12.4 Purchase of Remaining Stock. Remaining printed stock is the property of Alchemy Books. On termination the Author may request to purchase some or all of that stock at Alchemy Books' cost plus shipping, by written notice within thirty (30) days. Alchemy Books will not unreasonably decline such a request.
12.5 Sell-Through and Disposal. Where the Author does not purchase remaining stock, Alchemy Books may continue to sell remaining stock during the ninety (90) day period in Section 8.3, at current or discounted prices, paying Royalties at the contracted rate on those sales. Any stock remaining after that period may be disposed of without compensation to the Author. This Section does not apply where termination arises under Section 7.4.
12.6 Effects of Termination. On termination the Publishing Licence terminates subject to Section 8.3. Outstanding payments are due within sixty (60) days, subject to Section 4.7.
12.7 Continued Hosting of Reader Bonus Content. Where the Author wishes Alchemy Books to continue hosting reader bonus content after termination, a fee of fifteen dollars (\$15) per month is payable monthly in advance. Hosting ceases if the fee is not paid, and Alchemy Books is under no obligation to maintain access to files referenced by codes or links printed in books already in circulation.
13.1 Author's Own TikTok Shop. Where the Author establishes a TikTok Shop US account under their own business entity, the Author must give Alchemy Books written notice not less than thirty (30) days before first offering the Content for sale through that account. The exclusivity in Section 8.2 ends on the date the Content is first offered for sale through the Author's own account, or on expiry of the notice period, whichever is earlier.
13.2 Continuing Supply. Alchemy Books has a right of first refusal to provide production and fulfilment services for the Content on terms matching any competing offer, exercisable within thirty (30) days of being notified of that offer.
13.3 Alchemy Books as Continuing Sales Channel. Following the end of exclusivity under Section 13.1, the Publishing Licence continues on a non-exclusive basis for twelve (12) months, permitting Alchemy Books to continue selling the Content through the Alchemy Books TikTok Shop. Royalties during that period are payable at the Royalty rate applying to the Author immediately before that date.
Where the Author is a Founding Member and has assigned this Agreement to an entity under Section 3.5 while retaining the Founding Member Royalty rate, the non-exclusive period continues for so long as that rate is retained. The Author may end the continuation at any time by reverting to the Royalty rate then applying to new Standard Members, on ninety (90) days' written notice.
Sections 5 and 11 continue to apply during any continuation period.
13.4 Assignment to Author's Entity. Where the Author assigns this Agreement to an entity under Section 3.5, fresh tax documentation is required before payment. The Author acknowledges that a US limited liability company owned by a non-US person is generally disregarded for US federal tax purposes, that payment is treated as made to the foreign owner, and that US withholding continues to apply. Formation of a US entity does not remove the withholding obligation.
14.1 No Liability. Alchemy Books is not liable for TikTok Shop suspension, termination or policy change; TikTok's delay, withholding, dispute or non-remittance of settlement funds; creator performance or sales volume; market changes or competitive factors; printing or shipping delays beyond reasonable control; Amazon ranking changes or spillover effects; loss or damage to stock in storage beyond Section 5.8; or loss of potential profits or business opportunities.
14.2 Liability Cap. Alchemy Books' total liability under this Agreement is limited to fees paid by the Author in the preceding twelve (12) months. This cap does not apply to royalties that have been earned but not yet paid to the Author.
14.3 No Consequential Damages. Neither party is liable for indirect, incidental, consequential or punitive damages. This Section does not limit the Author's indemnity under Section 7.6.
15.1 Right to Modify. Alchemy Books may modify this Agreement on thirty (30) days' email notice to the address on record.
15.2 Founding Member Protection. Modification will not reduce the Founding Member Royalty rate, save as provided in Section 5.7.
15.3 Material Changes. Material changes require the Author's consent or give the Author the right to terminate without penalty.
15.4 Acceptance. Continued participation after the notice period constitutes acceptance.
16.1 Age Requirement. The Author must be eighteen (18) years or older.
16.2 Death or Incapacity. On the death or incapacity of the Author this Agreement continues with the Author's estate or legal representative, who must provide evidence of authority and fresh tax documentation before any payment is made. Either party may terminate on thirty (30) days' notice given after the date of death or incapacity.
16.3 Entire Agreement. This Agreement, with the programme materials referenced in it, constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, including any earlier version of these Terms and Conditions.
16.4 Severability. If any provision is held invalid or unenforceable the remaining provisions remain in full force.
16.5 Waiver. Failure to enforce any provision is not a waiver of that or any other provision.
16.6 Assignment. Alchemy Books may assign this Agreement on thirty (30) days' notice. The Author may assign as provided in Section 3.5.
16.7 Notices. Notices must be sent by email to the address on record.
16.8 Force Majeure. Neither party is liable for delay or failure in performance due to circumstances beyond reasonable control.
17.1 Commercial Risk. Participation in the Alchemy Books publishing program requires expenditure including setup fees, Publication Fees, Service Fees and ongoing operational costs. These carry commercial risk. Success depends on factors outside Alchemy Books' control, including TikTok platform performance, creator engagement, market demand, competitive conditions and consumer behaviour. Past performance of other authors is not indicative of future results.
17.2 No Guarantee of Results. Alchemy Books makes no representation or guarantee as to sales volume, revenue, profitability, Amazon ranking, spillover effects or any other outcome. The Profit Calculator and any examples or projections are illustrative only.
17.3 TikTok Platform Risk. Alchemy Books operates on a third-party platform over which it has no control. TikTok may change policies, algorithms, fee structures or content requirements at any time, and may suspend or terminate the shop, affecting all authors.
17.4 No Professional Advice. Guidance provided by Alchemy Books regarding TikTok Shop, book formatting, compliance and creator collaboration does not constitute legal, tax, accounting or financial advice. Authors are responsible for consulting qualified professionals regarding tax obligations, business structure, intellectual property protection, contract review and financial planning.
17.5 Forward-Looking Statements. Statements regarding potential earnings, market trends or platform growth are forward-looking and subject to risk and uncertainty.
17.6 Compliance Responsibility. Authors remain solely responsible for ensuring the Content complies with applicable law, regulation and platform requirements. Alchemy Books does not review Content for legal compliance.
17.7 Third-Party Services. Alchemy Books uses third-party providers for printing, fulfilment and payment processing and is not responsible for their performance, errors, delays or failures.
17.8 Technology Limitations. Dashboard features, calculators and reporting tools are provided on an "as is" basis and may contain errors or produce inaccurate data.
17.9 Acknowledgment. By participating in the Alchemy Books publishing program the Author acknowledges reading, understanding and accepting all disclaimers in this Section and throughout this Agreement.
18.1 Governing Law. This Agreement is governed by the laws of the United States of America and the State of Wyoming.
18.2 Exclusive Jurisdiction. Disputes will be settled within United States jurisdiction. This Agreement is not subject to the laws or courts of any jurisdiction outside the United States.
18.3 Dispute Resolution. The parties will attempt informal resolution before litigation.
By submitting an application or payment, the Author acknowledges reading, understanding and agreeing to these Terms and Conditions in full.
